Terms of Service

Effective Date: February 10, 2026

These Terms of Service ("Terms") govern your use of Agent Mask, a PII detection and anonymization software product ("Software") provided by Raccoon Data LLC ("Company," "we," "us," or "our"). By installing or using the Software through the Snowflake Marketplace, you ("Customer" or "you") agree to these Terms.

1. Overview of the Service

Agent Mask is a containerized application that detects and anonymizes personally identifiable information (PII) in text data. The Software runs within your Snowflake environment using Snowpark Container Services (SPCS). All data processing occurs within your Snowflake account.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software during the subscription term for your internal business purposes.

3. Restrictions

You may not:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, disassemble, or decompile the Software
• Rent, lease, lend, sell, or sublicense the Software
• Remove or alter any proprietary notices in the Software
• Use the Software to develop a competing product
• Circumvent any technical limitations or access controls
• Use the Software in violation of applicable laws

4. Customer Responsibilities

4.1 Data and Compliance

You are solely responsible for:

• All data you process using the Software
• Determining whether the Software is appropriate for your use case
• Compliance with applicable laws and regulations (including GDPR, CCPA, HIPAA, and other privacy laws)
• Configuring the Software appropriately for your requirements
• Validating that the Software's output meets your needs
• Maintaining appropriate backups of your data

4.2 Snowflake Environment

You are responsible for your Snowflake account, including compute resources, access controls, security configurations, and associated costs charged by Snowflake.

5. Fees and Payment

Fees for the Software are charged through the Snowflake Marketplace according to your selected subscription tier. Payment terms are governed by your agreement with Snowflake. We reserve the right to modify pricing for future subscription periods with reasonable notice.

6. Intellectual Property

We retain all right, title, and interest in the Software, including all intellectual property rights. These Terms do not grant you any rights to our trademarks or branding. You retain all rights to your data.

7. Confidentiality

We do not have access to data you process using the Software. Any confidential information you share with us directly (such as through support requests) will be protected and used only to provide the requested services.

8. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that:

• The Software will detect all PII in your data
• The Software will be error-free or uninterrupted
• The Software will meet your specific requirements
• Use of the Software will ensure compliance with any law or regulation

PII detection relies on pattern matching, machine learning models, and heuristics that may produce false positives or false negatives. You must validate results for your use case.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RACCOON DATA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

10. Indemnification

You agree to indemnify and hold harmless Raccoon Data LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of applicable laws; or (d) your data or content.

11. Term and Termination

These Terms are effective until terminated. Your subscription term and renewal are governed by the Snowflake Marketplace. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your license to use the Software ends. Sections 6, 7, 8, 9, 10, and 13 survive termination.

12. Modifications

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated through the Snowflake Marketplace or email. Continued use of the Software after changes take effect constitutes acceptance of the modified Terms.

13. General Provisions

Governing Law: These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles.

Disputes: Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Mexico, and you consent to the jurisdiction of such courts.

Entire Agreement: These Terms constitute the entire agreement between you and Raccoon Data LLC regarding the Software and supersede all prior agreements.

Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

Waiver: Failure to enforce any right does not waive that right.

Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
